These Terms contain Conditions of Use for Maximy’s website and services, followed by Conditions of Sale for purchases from Maximy. Please read the information for the particular course, programme, assessment or resource before you order. If you buy mainly for personal purposes, you are a consumer and your statutory rights apply throughout. A separately agreed organisational service agreement may add terms for a business purchase but cannot remove mandatory rights.
Maximy Ltd is referred to as “Maximy”, “we”, “us” or “our”. “You” means the website user, participant or customer, as the context requires. “Maximy Services” include the Maximy website, online courses, downloadable materials, assessments, coaching, tutoring, events, and any other product or service we expressly offer. Free public information is not the same as a paid service. Where an organisation buys a service for participants, we will distinguish the contracting customer’s obligations from the individual participant’s rights and responsibilities.

Conditions of Use
Please read these conditions carefully before using Maximy Services. We offer a wide range of Maximy Services, from time to time certain of those Maximy Services may require further terms and conditions ("Service Terms") to be accepted by you before those Additional Services and the materials associated therewith are delivered or made available to you. If those additional terms conflict with these Terms, the terms associated with those Service Terms will take precedence over these Terms.
1. PRIVACY AND COOKIES
Our Privacy Policy describes what personal information we collect and how we use it. It is separate from these contractual terms and isnot a general request for consent. Some assessments, coaching programmes or organisational services also require a specific privacy notice explaining sensitive information, confidentiality and reporting. Please review the relevant notice before providing personal information. Our Cookie Policy explains the website technologies we use and the choices available to you. Where consent is required, we will request it separately.
By accepting these Terms, you acknowledge that our Privacy Policy (https://www.maximy.life/privacy-policy) has been madeavailable to you. It explains how we collect, use, store and share personal information, and your rights in relation to that information. Please read it alongside these Terms.
Some assessments, programmes ororganisational services require additional privacy notices explaining how sensitive personal information, confidentiality and reporting are handled. We will provide any relevant notice before collecting the information concerned.
Our Cookie Policy explains the website technologies we use and the choices available to you. Accepting these Terms does not constitute consent to processing personal information or using cookies where separate consent is required. Where we rely on your consent, we will request it separately, and you may withdraw it as explained in the relevant notice.
2. ALTERATIONS TO SERVICES OR AMENDMENTS TO THE CONDITIONS OF USE
We may update public website features, content and these Conditions of Use to reflect changes in our services, law, security or technology. We will show the date of the current version. The terms in force when you place an accepted order ordinarily continue to govern that purchase. A later version will not retrospectively remove a paid-for benefit or materially change an ongoing consumer contract without an applicable legal basis or your agreement. If a material change affects your ongoing access, we will explain it and any remedy or option available. We may discontinue a free feature, but will deal fairly with any paid service affected.
3. EDUCATIONAL CONTENT AND HEALTH RISKS
Our development work can include reflection on experiences, relationships, beliefs and emotions. This can sometimes feel uncomfortable or bring difficult issues into focus. You may pause or stop an exercise and speak with your coach, tutor or Maximy. If you are concerned about your mental or physical health, seek support from an appropriately qualified professional; if you face an immediate emergency, contact emergency services. Please read our Duty of Care (https://thinking.maximy.life/duty-of-care) before starting deeper reflective work.
Unless a particular service explicitly says otherwise, Maximy’s courses, materials and coaching are educational and developmental. They are not medical diagnosis, treatment, psychotherapy, legal advice or regulated financial advice. Consider independent professional advice before making a decision that requires it. We do not guarantee a particular personal, career or organisational outcome. None of this removes our duty to provide paid services with reasonable care and skill or any other responsibility we cannot legally exclude. Coaches and other professionals we provide should explain the scope of their qualifications and the service they are providing.
4. AGE TO USE MAXIMY SERVICES
An adult must place a paid order unless we expressly offer another lawful arrangement. A service for a person under 18 is available only if we have confirmed it is suitable, supplied age-appropriate information and followed the consent and safeguarding process specified for that service. An adult’s involvement does not remove duties Maximy owes to a young participant. A parent or guardian is responsible for payment only where they have agreed to purchase the service.
5. ACCESSING MAXIMY ONLINE SERVICES
You will need a compatible device, internet connection and any software described before purchase. Your network provider may charge you for access. We will explain material technical requirements, the duration of paid access and any known geographic restrictions before you order. We aim to make our services accessible; contact us about a reasonable adjustment or access problem. Where an interruption substantially prevents use of paid content, we will consider an extension, alternative access or another appropriate remedy. We do not promise that every public webpage will be available without interruption.
6. ACCESSING MAXIMY SERVICES OUTSIDE OF THE UNITED KINGDOM
The website may be accessible outside the UK, but a particular service may be limited by location, timing, licensing or law. If you want to buy from another country, check the service description and contact us if its availability is unclear. You must use the service lawfully in your location. We will not use this clause to avoid a legal obligation Maximy has to you, including any mandatory consumer rights that apply. Any additional cross-border charges or relevant restrictions we know about will be explained before purchase.
7. REGISTRATION
Some services require an individual account. You must give accurate information, keep your login details reasonably secure and promptly tell us if you suspect unauthorised access. We may create an account after you or an organisation enrolling you has agreed to the service; we will explain activation and provide a way to set a private password. Do not use another person’s account or share an individual licence. A business licence may provide named seats or transfers as expressly agreed. We may temporarily restrict an account while investigating a genuine security concern. You are not automatically liable for everything done through a compromised account, particularly where the compromise was not your fault.
8. ELECTRONIC COMMUNICATION
We may send order confirmations, receipts, access instructions, booking changes, security notices and other service communications to the contact details you give us. We will provide informationon a durable medium, such as email, where law requires it. Keep your details current and tell us if an important service message has not reached you. Marketing is separate from necessary service communication and is governed by applicable law and your preferences. You can contact us at hello@maximy.life; we will not insist on a particular form where a consumer has a legal right to notify us another way.
9. COPYRIGHT, AUTHORS' RIGHTS AND DATABASE RIGHTS
Maximy and its licensors own the rights in their original website text, courses, graphics, recordings, workbooks, templates, assessments, software and compilations, subject to any third-partyrights. Copyright and database rights may protect these materials. Your purchase or download gives you the licence stated here or in the product description; it does not transfer ownership of the underlying materials. Do not reproduce, sell, publish, systematically extract or distribute protected material without permission, except where the law allows. These restrictions do not stop you making personal learning notes, using your own completed reflections, quoting lawfully, obtaining advice or reporting a concern. Images supplied under third-party licences must not be extracted for a separate use.
10. TRADEMARKS
The Maximy name, logos and distinctive marks may be protected by trade mark or other law. Do not use them in a way that wrongly implies Maximy’s endorsement, sponsorship or affiliation. Other names and marks displayed on our services belong to their respective owners. You may refer to Maximy accurately in a review, discussion or lawful comparison; this clause is not a prohibition on fair comment.
11. LICENCE AND ACCESS
For an individual purchase, we grant the named participant a limited, non-exclusive, non-transferable licence to use the purchased course or materials during the stated access period for personal learning and professional reflection. The product description states what canbe downloaded and retained. Free templates may be downloaded and completed for your own personal or work-related reflection; unless we grant a wider licence, do not resell or redistribute the blank Maximy template as your own product. Organisational copying, group delivery, internal distribution and the number oflicensed users must be agreed in an organisational licence.
Do not share a paid course login, broadcast lessons to unlicensed users, sell access, circumvent access controls, make acompeting copy of a course, or automate large-scale extraction of protected content. You may make reasonable personal notes and keep your own completed workbook. Any limitation on screenshots or recording applies to copying substantial course content for redistribution and does not prevent a lawful accessibility adjustment or exercise of statutory rights. We retain rights not expressly licensed.
12. INDEPENDENT ASSOCIATES
Maximy works with independent professionals, including coaches, mentors, tutors, actors, consultants andother specialists (“Independent Associates”), to deliver certain Maximy Services. Your contract for services booked with Maximy is with Maximy. Independent Associates are engaged as independent service providers, and their involvement does not remove our responsibilities under that contract or applicable law.
We take reasonable care when selecting Independent Associates. Our assessment process includes checking relevant credentials, conducting interviews and, where appropriate to the role, practical assessments or role-play. We will take reasonable care to ensure that information we provide about an Associate’s qualifications, experience and professional memberships is accurate and not misleading.
We may suggest available Independent Associates based on your stated needs and preferences. You decide whether to proceed with a suggested Associate and should tell us about any particular requirements before booking. Your choice does not remove our responsibility for the recommendations we make or the services we have agreed to provide.
Independent Associates exercise their own professional judgement in delivering services, subject to the agreed scope, applicable professional standards and our contractual commitments to you. Session times, locations and delivery arrangements will be agreed as part of the booking.
Our selection and assessment process does not guarantee a particular personal or professional outcome. Any specific commitments forming part of your agreement with us remain binding.
If You have concerns about an Independent Associate or the services provided, please contact Maximy so that we caninvestigate and work with you to identify an appropriate resolution. Nothing inthis clause excludes or limits your statutory rights or any liability that cannot lawfully be excluded or limited.
13. USE OF INDEPENDENT ASSOCIATES MET AND/OR WORKED WITH THROUGH MAXIMY SERVICES
Where you book a service or programme through Maximy, all sessions forming part of that agreed service or programme must be booked and paid for through Maximy, unless We agree otherwise in writing.
If you wish to add sessions or extend that service or programme with the same Independent Associate, please contact Maximy so that we can confirm availability, scope, fees and the applicable terms before you commit to any additional services.
This clause does not restrict you from purchasing unrelated services, continuing a professional relationship that existed before Maximy’s introduction, or choosing whom to engage after your agreed Maximy service or programme has ended. It does not create any obligation to purchase additional services or affect your statutory rights, including any applicable cancellation rights.
14. ONLINE COURSES AND ACCESS
Each course page or proposal should state its main content, learning format, start date, access period, whether it is self-paced or live, technical needs, assessment or certificate criteria and any downloadable workbook or log. Unless expressly stated, purchasing course access does not purchase the underlying copyright. Lessons may require an internet connection; any permitted downloads will be clearly identified. You may complete and retain your own downloaded workbooks after access ends unless a clearly disclosed, lawful restriction says otherwise.
We may make reasonable updates to correct errors, improve accessibility, address security or reflect new evidence. We will not materially reduce a course’s purchased scope or access period without an appropriate option or remedy. If a live class is rescheduled, we will give reasonable notice and offer a suitable alternative or remedy. We aim to keep educational material accurate but cannot promise that every idea or external fact will remain current; this does not override the standards that apply to paid digital content. Report an error to hello@maximy.life.
15. UPLOADING MATERIAL TO OUR WEBSITES AND OTHER MAXIMY SERVICES
You retain rights you have in notes, completed reflections, answers, files and other material you submit. You give Maximy only the permission reasonably needed to receive, store, display to authorised participants and use that material to deliver the service, administer an agreed assessment or respond to your request, subject to the Privacy Policy and service-specific confidentiality arrangements. We will ask separately before publishing your identifiable story, private workor testimonial for marketing.
Tell us if a submission contains another person’s private information or material you are not authorised to share. If you publish content in a community area, we will explain who can see it. We may remove material where reasonably necessary under clause 16 or law, and we will consider a proportionate way for you to retrieve your own material where appropriate.
16. USER CONTENT STANDARDS
These content standards apply to any and all material which you contribute to our Websites and Maximy Services ("Contributions"), and to any Interactive Services associated with them. Content which you contribute is referred to as User Content.
The standards apply to each part of any contribution as well as to its whole.
Contributions must:
- Be accurate (where they state facts)
- Be genuinely held (where they state opinions)
- Comply with applicable law in the UK and in any country from which they are posted.

- Advocate, promote or assist any unlawful act such as (by way of example only) copyright infringement or computer misuse.
17. PROHIBITED USES
You may use Maximy Services only for lawful purposes. You may not use Maximy Services:
- In any way that breaches any applicable local, national or international law or regulation.
- In any way that is unlawful or fraudulent, or has any unlawful or fraudulent purpose or effect.
- For the purpose of harming or attempting to harm minors in any way.

Not to reproduce, duplicate, copy or re-sell any part of Maximy Services in contravention of the provisions of these Terms.
Not to access without authority, interfere with, damage or disrupt:
- any part of Maximy Services;
- any equipment or network on which Maximy Services are stored;
- any software used in the provision of Maximy Services; or
- any equipment or network or software owned or used by any third party.
18. INTERACTIVE SERVICES
We may provide Interactive Services as part of Maximy Services, including discussion rooms, online interactive classrooms, forums and message boards.
For each Interactive Service, we will provide clear information about its purpose, applicable age restrictions and participation rules, and whether and how it is moderated, including whether moderation involves people, automated tools orboth.
We will assess relevant risks to users, including children, and take proportionatesteps to address them. We will carry out any risk assessments and implement any safeguards required by applicable law. Our moderation arrangements will reflectthe nature of the service and the risks identified.
Unless expressly stated otherwise, moderation does not mean that every contribution is checked before publication or that the service is continuously monitored. We cannot guarantee that all inappropriate or unlawful content or conduct will beprevented or immediately identified. This does not reduce our legal obligationsor exclude responsibility for our own acts or omissions.
You must comply with our Content Standards when using Interactive Services. We may remove or restrict access to content, or suspend or restrict participation, reasonably necessary to address a breach of those standards, protect users or comply with the law. We will act fairly and proportionately and provide an explanation and an opportunity to request a review where appropriate, unless doing so would be unlawful or compromise user safety.
Anyone under 18 may use an Interactive Service only where that service permits their age group and they have permission from a parent or guardian. Any additional age or access requirements will be explained before participation. Parental permission does not override an age restriction or replace our responsibilities to protect children.
We encourage parents and guardians to discuss online safety with children using our Interactive Services, including protecting personal information and reporting inappropriate content or behaviour.
We will provide an accessible way to report content, conduct or safety concerns and toraise complaints, including concerns about moderation decisions. We will assess reports and complaints and take appropriate action in accordance with our published procedures and applicable law.
Nothing in this clause excludes or limits your statutory rights or any liability that cannot lawfully be excluded or limited.
19. FEEDBACK
We welcome comments and suggestions about Maximy services. We may use non-confidential ideas you voluntarily send to improve our work without paying a fee, but you keep rights in Your own original expression. We will not publish your name, identifiable story, completed reflection or private correspondence for promotion without appropriate permission. We may use genuinely anonymous feedback that cannot reasonably identify you. If you think feedback contains confidential information, tell us so we can handle it appropriately.
20. PERSONAL CONDUCT
Treat staff, coaches and other participantswith respect. We may set boundaries or pause a session if conduct creates agenuine safety concern, including threats, harassment or serious abuse. Wherefeasible, we will explain the issue and offer a chance to resolve it or asuitable alternative. If serious misconduct means we cannot safely continue, wemay end the affected service. Any charge or refund will reflect work supplied, unavoidable costs, the circumstances and mandatory rights; paying a fee does notgive anyone the right to abuse another person, and an allegation alone does notautomatically forfeit all payment.
21. LINKS TO THIRD PARTY WEBSITES
We may link to independent websites, tools, research or services for context or convenience. A link does not necessarily endorse all the content or practices of that provider. Its own terms and privacy notice may apply if you choose to use it. If we incorporate a third-party provider into a paid Maximy service, our contractual obligations for the service do not disappear because the provider is external. Please report a broken or concerning link to hello@maximy.life.
22. LINKING TO OUR WEBSITES
You may link to publicly available Maximy pages fairly and lawfully, provided you do not falsely suggest endorsement, conceal the source of our content, bypass paid access or frame a page deceptively. We may ask you to correct or remove a misleading or harmful link. A normal link to a public page does not require written permission. Use of ourmarks or reproduction of substantial content may need a separate licence.
We reserve the right to withdraw linking permission without notice. The website from which you are linking must comply in all respects with the User Content Standards set out in section 16 above.
23. CHANGE OF PLATFORMS AND SERVICE PROVIDERS
We may change learning, website, payment or communications providers. We will give reasonable notice if a change materially affects paid access, explain any action you need to take, and take reasonable steps to preserve relevant progress and purchased benefits. If a paid feature cannot be maintained, we will offer a fair alternative, extension or remedy. Our Privacy Policy explains how personal information is handled when providers change. We will not treat use of the website as blanket consent to a new data use.
24. FUTURE BUSINESS TRANSACTIONS
A merger, sale or restructuring may involvea transfer of the business and relevant customer contracts to a successor able to perform them. We will inform affected customers of a material change and explain their rights if it changes the service. Personal information will behandled in accordance with data protection law and our Privacy Policy; submitting data does not constitute an unrestricted agreement to disclose it to any future buyer. This clause does not allow an unfair reduction in a consumer’s paid benefits.
25. VIRUSES, HACKING AND OTHER OFFENCES
Do not knowingly introduce malware, seek unauthorised access, attempt to disrupt servers or networks, or launch adenial-of-service attack. We may suspend access reasonably necessary to investigate and protect the service and may report suspected criminal activity to relevant authorities.
We will exercise reasonable care and skill in providing Maximy Services and take reasonable measures to protect our online platforms, systems and downloadable materials against viruses and other technologically harmful material. However, we cannot guarantee that they will always be secure or free from such material.
You should take reasonable precautions when accessing Maximy Services or downloading materials, including keeping your software and security protection up to date and maintaining appropriate backups of your data.
We will not be responsible for loss or damage caused by viruses, distributed denial-of-service attacks or other technologically harmful material where that loss or damage is not caused or contributed to by our breach of these terms, negligence or failure to comply with our legal obligations.
Nothing in this clause excludes or limits your statutory rights, including any applicable rights to repair or compensation where digital content supplied by us damages your device or other digital content because we failed to exercise reasonable care and skill.
26. SECURITY
Please use a strong password, protect your devices and notify us promptly at hello@maximy.life if you believe anaccount has been compromised. We will investigate a reported incident and take appropriate steps to protect affected users and restore access. Our Privacy Policy gives more information about protection of personal information.
27. SYSTEM OUTAGES
Maintenance, supplier failures or unexpected faults may interrupt an online service. Where reasonably practicable, we will give advance notice of planned material downtime and work to restore access. If an interruption substantially deprives you of paid accessduring a fixed period, tell us; an extension, equivalent alternative, partial refund or another appropriate remedy may be available. We do not promise uninterrupted access, but this clause does not remove our legal responsibility for a failure within our control or the rights attached to paid digital content.
28. INACCURACIES
We aim to present services and educational information clearly and accurately. Please email hello@maximy.life with the relevant page, lesson or passage if you identify an error. We will review it and correct material mistakes as appropriate. General educational discussions may include differing views and changing evidence, and we will seek to distinguish opinion from established fact.
29. COMPLAINTS
We want to resolve concerns fairly. For a service complaint, email hello@maximy.life or write to our contact address, setting out what happened and the outcome you seek. We will acknowledge the complaint, investigate, keep you informed and explain our response. A complaint about personal information may also be raised under the process in the Privacy Policy.
30. TERMINATION
Maximy reserves the right to terminate, suspend, modify, or delete, at our sole discretion, any (a) Maximy Service and any content submitted or displayed by Maximy, you, other users, third parties on Maximy Services; and (b) Your access to Maximy Services or Your Account, as follows:
If you breach or violate any of these Terms or any of our applicable policies and guidelines, as posted on Maximy Services from time to time, Maximy may take action and terminate your use of the Maximy Services immediately by email notice to you. If we take action pursuant to this section, we shall not have any liability to you for any Maximy Service you may have purchased nor for any other use of Maximy Services associated with Your Account. For avoidance of any doubt, you understand and agree that you will not be compensated nor be eligible for any refund under such circumstances for any such access lost to Maximy Services.
You may terminate your use of Maximy Services at any time, either by ceasing to access them, or by deleting Your Account. We have no obligation to retain any of Your Account or Your Content ("Contributions") for any period of time beyond what may be required by applicable law. Upon termination, you must cease all use of the Services and Content.
31. NOTICE AND PROCEDURE FOR MAKING CLAIMS OF RIGHT INFRINGEMENTS
Maximy respects the intellectual property of others. It is our policy that any content included on our Websites or within Maximy Services (including Online Courses) that infringes the intellectual property rights of any third party will be removed from the Website or Maximy Service as soon as possible after we are made aware of such infringement.
If you are the owner of intellectual property rights, or are authorised to act on behalf of an owner, or authorised to act under any exclusive right, you should report any alleged infringements of your intellectual property rights taking place on or through the Website or Maximy Service by emailing a Copyright Infringement Notice to hello@maximy.life, containing at a minimum the details outlined below:
- a statement telling us you believe that you have found content in Maximy Services which you believe infringes your intellectual property rights;
- which country your intellectual property rights apply to;
- the title of the content concerned and the full URL for access to that content;
- a statement explaining how the content infringes your intellectual property rights;
- your mailing address, telephone number and email address so that we can contact you;
- a statement that the information contained in the notice is accurate and that you are the owner of the intellectual property rights or have an exclusive right in law to bring infringement proceedings in respect of its use; and
- your signature (an electronic signature is sufficient).
We will take whatever action, in our sole discretion, we deem appropriate, including the removal of the challenged content.
We will, acting in our sole discretion, terminate a user’s account and access to the Website and Maximy Services if a user has been notified of infringing activity twice or more (regardless of whether the user has taken appropriate action as we may direct).
32. DISCLAIMER OF WARRANTIES
We will provide Maximy Services with reasonable care and skill and honour the descriptions and commitments forming part of your agreement with Us. Subject to those commitments and your statutory rights, we do not guarantee that Maximy Services will meet every individual requirement, achieve any particular personal, professional or business outcome, or that access to our website and online resources will always be uninterrupted, secure or error-free. Outcomes may depend on your circumstances, participation and factors outside our control. Nothing in this clause excludesor limits our responsibility for failing to meet our contractual or legalobligations, your applicable rights concerning the quality, fitness for purpose or description of digital content, or any liability that cannot lawfully be excluded or limited.
33. LIMITATION OF LIABILITY
Nothing in these terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or limited. Nor do these terms restrict your statutory rights or remedies.
If we fail to comply with our agreement with you or fail to exercise reasonable care and skill, we are responsible for loss or damage you suffer that is a foreseeable result of that failure. Loss or damage is foreseeable if it is an obvious consequence of our failure or if, when the agreement was made, both you and we knew that it might occur. Subject to the rights and liabilities preserved above, we are not responsible for loss or damage that was not foreseeable.
Where you purchase services wholly or mainly for personal use, we are not liable for losses relating to any business use of those services, including loss of business profits, business interruption or loss of business opportunity.
We remain responsible for services we have agreed to provide, including where we use Independent Associates or other suppliers to deliver them. Where you enter into a separate contract directly with an independent third-party provider, we are not responsible for that provider’s performance, but remain responsible for our own acts, omissions and legal obligations.
34. INDEMNIFICATION
You agree to indemnify, defend and hold harmless Maximy, its directors, officers, employees, Independent Associates, agents, and affiliates, from and against anyand all liability, damages, losses, claims, expenses of any kind (including, without limitation, reasonable attorneys' fees) directly or indirectly related to (1) Your breach of these Terms; (2) the User Content that you provide, create, submit, post, or transmit through the Maximy Services; (3) Your use ofthe Maximy Services other than in accordance with these Terms; or (4) Your violation of any law or rights of any third party.
35. FORCE MAJEURE
Maximy shall neither be liable to you nor be deemed to be in breach of the Terms for any reason of delay in performing, or any failure to perform, any of Maximy’s obligations in relation to the services, where the delay or failure was due to any cause beyond Maximy’s reasonable control and without prejudice to the generality or foregoing the following shall be regarded (without limitation) as cause beyond Maximy’s reasonable control:
- Acts of God, explosion, flood, tempest, fire or accident;
- War or threat of war, acts of terrorism, threats of terrorism, sabotage, insurrection, civil disturbance or requisition.
- Acts, registration, regulations, bye laws or measures of any kind on the part of any governmental, parliamentary, or local authority.
36. MISCELLANEOUS

Severability. If any provision of these Terms is found to be illegal, void or unenforceable, then that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions of these Terms.
Waiver. A provision of these Terms may be waived only by a written instrument executed by the party entitled to the benefit of such provision. The failure of Maximy to exercise or enforce any right or provision of these Terms will not constitute a waiver of such right or provision.
Notice. Any notice or other communication to be given hereunder will be in writing and given by electronic mail.
No Agency. Nothing in these Terms shall be construed as making either party the partner, joint venture, agent, legal representative, employer, contractor or employee of the other. Neither Maximy nor any other party to these Terms shall have, or hold itself out to any third party as having, any authority to make any statements, representations or commitments of any kind, or to take any action that shall be binding on the other except as provided for herein or authorised in writing by the party to be bound.

Conditions of Sale
These Conditions of Sale apply when Maximy Ltd sells a service or digital content. The product page, checkout or accepted proposal specifies what you are buying. For an organisational purchase, asigned or otherwise expressly accepted service agreement may contain additional negotiated commercial terms. The Conditions of Use continue to apply to the website, accounts and materials. Nothing in these Conditions of Sale removes mandatory consumer rights.
Please read these conditions carefully before placing an order with Maximy Ltd. By placing an order with Maximy, You signify your agreement to be bound by the Terms of Use & Sale.
1. CONDITIONS FOR ORDERING
An adult placing an order must provide accurate contact and payment information and have authority to use the chosen payment method. If ordering for an organisation, the person placing the order confirms they have authority to commit it, subject to the organisation’s agreed approval process. Identifying someone as a participant does not automatically make that person liable for the price. The order page or proposal will show the main characteristics of what is being bought, the total price including applicable taxes, any additional charges, when it begins, and the duration and any minimum commitment.
An online order is your offer to buy. A contract is made when we send an express order acceptance, grant access on agreed terms, or otherwise clearly confirm acceptance. An automated receipt ofan enquiry or order is not necessarily acceptance. We may refuse an order if the service is unavailable, we cannot lawfully supply it, or a displayed price contains an obvious error; if we have taken payment for an order we do not accept, we will promptly refund it. We will give consumers the required contract information and confirmation by email or another durable medium.
2. AGREEMENT OF SERVICE(S)
You may enquire by website form, email or telephone. For a bespoke service, we will normally discuss your needs, request relevant information and provide a written proposal or service agreement. It should describe the scope, outputs, number and length of any sessions, relevant coach or specialist, format, location, start and end dates, course or material access, customer responsibilities, fees, VAT, payment dates, cancellation arrangements, and the confidentiality and reporting arrangements that matter to participants.
You and Maximy can propose amendments. No draft is binding merely because it was sent, discussed or completed as a needs form. The contract is made when both sides expressly accept the final proposal, or at the point of clear acceptance stated in the online order process. We will identify any separate third-party contract before you agree to it. If an employer buys a service, its contract with Maximy does not remove an individual participant’s data protection rights. We will take reasonable care to describethe service accurately. You should provide information reasonably needed todeliver it in good time; if there is a delay or inaccuracy, we will discuss a proportionate adjustment.
3. CHANGES TO THE SERVICE PROPOSAL
After an agreement is made, a material change to scope, price, timing, participants, location, coach, deliverables or access must be agreed by the contracting parties and recorded in writing, which may include email. We will explain any additional charge andits basis before you authorise extra work. We will not assume that payment-card details used for an earlier booking authorise a further charge. If a requested change creates a genuine, unavoidable third-party cost, we will explain it and seek agreement before incurring it. If we need to propose a change, you may accept it or discuss an appropriate remedy if we cannot supply what was agreed.
4. AVAILABILITY
We describe availability honestly at the time of sale. Specific dates, coaches, places, course access and deliverables are subject to the accepted order. If an agreed component becomes unavailable, we will promptly explain the problem, propose a reasonably comparable alternative where possible and give you a meaningful choice where the difference matters. We will not substitute a materially different service without agreement. If we cannot supply a paid component, we will refund the undelivered part or provide another remedy required by law. If an entire programme no longer serves its agreed purpose without that component, we will assess the programme as a whole rather than automatically limiting the refund to an isolated line item.
5. THIRD PARTY SUPPLIERS
We may use coaches, tutors, assessors, payment providers, learning platforms and other suppliers to help deliver a Maximy service. Where you contract with Maximy, Maximy remains responsible for its contractual obligations even if a supplier performs some of the work. We will tell you in advance if a separately identified service is contracted directly with a different provider, identify that provider, and provide its applicable terms before you commit. We will not incorporate undisclosed supplier terms by a general reference in this document. If a supplier change materially affects an agreed service, Condition of Sale 4 applies. Personal information shared with suppliers is addressed in our Privacy Policy and any service-specific notice.
6. PAYMENT
The total consumer price, includingapplicable VAT and mandatory fees, will be shown before you order or on aproposal. Where a bespoke price cannot reasonably be fixed in advance, we willexplain the calculation method, expected scope and any agreed cap. The acceptedproposal or checkout specifies whether payment is due upfront, by instalment,on invoice or after a milestone, and which payment methods we accept. We willissue a receipt or invoice as appropriate. We do not charge an undisclosedadministration fee.
If a payment is late or fails, we will notify the payer and give a reasonable opportunity to resolve it. Subject to any mandatory rights and the accepted agreement, we may pause future unpaid work rather than deliver indefinitely without payment. Suspension does not cancel work already paid for or entitle us to keep money for a service we cannot supply. Any late payment interest or recovery cost for an organisational customer must be agreed or permitted by law; it is not automatically imposed on a consumer through this clause.
7. CANCELLATIONS
Statutory distance-selling right for consumers. For most qualifying online or telephone service contracts, including coaching, you may cancel during the 14 days beginning the day after the contract is made. Tell us by any clear statement, including an email to hello@maximy.life or your Relationship Manager. If you expressly ask us to start within that period, we have given the required information, and you cancel after work has begun, you may have to pay a proportionate amount for what was actually supplied up to yournotice. You lose the statutory right to cancel a service fully performed during that period only where you expressly requested early performance and acknowledged that the right would be lost on full performance. Payment or a booked date alone does not automatically waive the right.
For paid digital content supplied without a physical medium, including an online course or paid download, the normal cancellation period is also 14 days beginning the day after the contract is made. If you want immediate access, we must obtain your separate express consent to supply during the cancellation period, your acknowledgement that the statutory right will be lost when supply begins, and confirm those choices with the contract information. Starting a course without those steps does not automatically end the right. If the purchase combines services and digital content, we will explain which rights apply to each part. Other statutory exceptions may apply to a particular product; we will explain them before purchase rather than assume they apply to every dated booking. If required cancellation information was not provided, the legal cancellation period may be extended.
Changing an individual session. After any statutory righthas expired, our proposed standard policy is that a request received at least 72 hours before the session may be rebooked once at no charge to another reasonably available date. With less notice, or if you do not attend, we may charge a fair amount reflecting work already done and costs we could not reasonably avoid, taking account of whether the slot could be filled. We will consider illness, emergency, accessibility and the circumstances fairly. We will explain any charge.
Ending a package or bespoke programme. If you cancel after the statutory period, we will account for sessions and other work supplied, and for genuine unavoidable costs already incurred, take reasonable steps to mitigate loss, and refund any balance of prepaid money that we are not entitled to retain. A business service agreement may contain a separately agreed, proportionate cancellation schedule. If Maximy cancels, we will offer a suitable alternative or refund the undelivered service, subject to any additional legal remedy.
8. REFUNDS
If a consumer validly exercises a statutory cancellation right, we will reimburse the amount due without undue delay andwithin 14 days after being told of the decision, subject to any lawful proportionate charge for a service supplied at the consumer’s express request. We will ordinarily use the original payment method unless you expressly agree otherwise, and will not impose a refund fee. If we cannot provide an agreed service or digital content is not supplied as described, we will provide the remedy required by consumer law, which may include repeat performance, repair, replacement, a price reduction or refund according to the circumstances. We will explain the calculation of any partial refund in plain language.
An agreed promotional or goodwill refund does not reduce a customer’s statutory rights. If an organisation rather than an individual paid, we will normally refund the organisation unless the agreement or law requires something else. A paid participant should contact uspromptly about a problem so that we can investigate, but failure to use a particular complaints channel does not automatically remove a legal remedy.
9. RECOMMENDATIONS / ADVICE
We may suggest a coach, specialist, resource or external provider based on the information available and the purpose of the service. We will take reasonable care when making are commendation that forms part of a paid service and explain material limitations or conflicts where relevant. You should use your judgement and seek regulated professional advice where a decision requires it. We do not guarantee that a recommendation will produce a specific result. If a third party independently sells you something, its own contract may apply, but we will not disclaim responsibility for negligent work we have agreed to perform or for a misleading description of our own service.
10. TAXES
Prices shown to UK consumers will include applicable VAT and other unavoidable taxes. A business proposal will state clearly whether a quoted amount includes or excludes VAT, and the total payable will be confirmed before acceptance. If an order from another country involves different applicable taxes, location restrictions or additional charges, we will explain how the price is determined before accepting it. We will not increase an agreed consumer price after purchase solely because we later discover a tax obligation, unless the law expressly requires it and the customer has a lawful option.
11. APPLICABLE LAW
These Terms and any dispute or claim arising out of or in connection with them or Maximy Services, including non-contractual disputes or claims, are governed by the laws of England and Wales. If you are a consumer, this choice of law does not deprive you of any mandatory consumer protections that apply under the law of the country in which you habitually reside.
If a dispute arises, please contact us using the contact details provided in these Terms. We will seek to resolve the matter informally and aim to do so within 28 days of receiving written notification. This process does not restrict your right to bring legal proceedings, seek urgent relief or take steps to protect a legal time limit.
If you are a consumer, you may bring proceedings in the courts of England and Wales. If you live in Scotland or Northern Ireland, you may also bring proceedings in the courts of that part of the United Kingdom. If you live elsewhere, nothing in these Terms restricts any mandatory right you have to bring proceedings in the courts where you live. We will bring proceedings against you only in the courts permitted by applicable consumer jurisdiction rules.
If you are acting for purposes relating to your business, trade or profession and are not a consumer, the courts of England and Wales will have exclusive jurisdiction over disputes or claims arising out of or in connection with these Terms or Maximy Services.
Either party may seek an injunction orother urgent interim relief from any court with the necessary jurisdiction, subject to any applicable consumer protections.
12. AMENDMENTS TO THE CONDITIONS OF SALE
The Conditions of Sale and price information in force when a contract is accepted govern that order. We may amend published terms for future orders. We will not unilaterally apply a new cancellation fee, price increase, liability restriction or shorter course access period to an existing consumer contract. If law requires a change to an ongoing service, we will explain the change and any options available. Other material variations require agreement. If one provision is unenforceable, the remaining provisions continue where possible.
13. WAIVER
If either party does not exercise a right immediately, that does not mean the right is permanently waived. A waiver of a particular breach is not a waiver of a later breach. Any agreed waiver or change to a bespoke service should be recorded in writing so both parties know what was agreed. This clause does not prevent a consumer from relying on a legal right or a promise made before purchase.
